Affiliate Terms & Conditions

1. Definitions

In these Terms and Conditions, the following definitions apply:

• "Company," "We," "Us" refers to FractalCycles and its operators.
• "Affiliate," "You" refers to the individual or entity enrolled in the FractalCycles Affiliate Program.
• "Customer" refers to any user who subscribes to FractalCycles through your affiliate link.
• "Affiliate Link" refers to the unique tracking URL provided to you upon acceptance into the program.
• "Billing Cycle" refers to one successful subscription payment (monthly or annual). Paused subscriptions, failed payments, or free trials do not count as billing cycles.
• "Net Subscription Revenue" refers to the gross subscription payment minus payment processing fees, applicable taxes, refunds, and chargebacks.
• "Commission" refers to the percentage of Net Subscription Revenue paid to you for referred customers.

2. Program Enrollment

Enrollment in the FractalCycles Affiliate Program is subject to application and approval. We reserve the right to accept or reject any application at our sole discretion.

By submitting an application, you represent that:

• All information provided is accurate and complete.
• You are at least 18 years of age or the age of majority in your jurisdiction.
• You have the legal capacity to enter into this agreement.
• You will comply with all applicable laws and regulations.

3. Commission Structure

Affiliates earn commissions on referred customers according to the following structure:

• First 6 Paid Billing Cycles: 30% of Net Subscription Revenue
• After 6 Paid Billing Cycles: 10% of Net Subscription Revenue (lifetime recurring)

"Paid Billing Cycles" refers to successful subscription payments. Paused subscriptions, failed payments, and free trial periods do not count toward the six-cycle threshold.

4. Net Revenue Calculation

Commissions are calculated on Net Subscription Revenue, defined as:

• Gross subscription payment received
• Minus: Payment processing fees
• Minus: Applicable taxes (VAT, GST, sales tax, etc.)
• Minus: Refunds issued to the customer
• Minus: Chargebacks and disputes

5. Payment Terms

• Payout Schedule: Net-30. Commissions earned in a given month are paid by the 20th of the following month.
• Minimum Payout: $50 USD. Balances below this threshold roll over to the next month.
• Payment Methods: PayPal, Wise (TransferWise), or bank deposit (ACH/wire).
• Currency: All commissions are calculated and paid in USD.

You are responsible for providing accurate payment information. We are not responsible for delayed or failed payments due to incorrect information.

6. Attribution and Tracking

• Cookie Duration: 60 days from the initial click.
• Attribution Model: Last-click attribution. If a customer clicks multiple affiliate links, the last affiliate clicked before conversion receives credit.
• Reactivations: If a referred customer cancels and reactivates within 60 days, you retain attribution. Reactivations after 60 days may result in attribution reset.

7. Refunds and Chargebacks

If a referred customer receives a refund or initiates a chargeback:

• The commission for that transaction will be reversed.
• If already paid, the amount will be deducted from your next payout.
• Repeated chargebacks from your referrals may trigger an account review.

8. Prohibited Practices

The following activities are strictly prohibited and may result in immediate termination:

• Self-referrals: Referring yourself or accounts you control.
• Incentivized signups: Paying or incentivizing people to sign up through your link.
• Cookie stuffing: Artificially triggering affiliate cookies without genuine user intent.
• False advertising: Making claims that FractalCycles guarantees profits, provides trading signals, or predicts market movements.
• Trademark infringement: Bidding on "FractalCycles" or related terms in paid advertising without written permission.
• Spam: Sending unsolicited emails or messages promoting FractalCycles.
• Misleading content: Creating content that misrepresents FractalCycles' features, pricing, or capabilities.

9. Messaging Guidelines

Affiliates must adhere to our brand messaging guidelines:

You MAY NOT claim that FractalCycles:

• Guarantees profits or returns
• Provides buy/sell signals
• Predicts market movements
• Replaces professional financial advice
• Works "100% of the time" or eliminates risk

You MAY describe FractalCycles as:

• A market cycle analysis platform
• A research and decision-support tool
• A tool for studying market structure and phases
• Built for serious traders who value context over signals

10. Intellectual Property

FractalCycles grants you a limited, non-exclusive license to use our name, logo, and promotional materials solely for promoting the affiliate program. You may not:

• Modify our logos or trademarks.
• Use our intellectual property in a way that implies endorsement of your own products or services.
• Register domain names containing "FractalCycles" or similar variations.

11. Termination

Either party may terminate this agreement at any time:

• By You: You may withdraw from the program at any time by contacting us. Outstanding commissions above the minimum threshold will be paid.
• By Us: We may terminate your participation for any reason with 30 days notice, or immediately for violations of these terms.

Upon termination, you must immediately cease using affiliate links and promotional materials. Pending commissions may be forfeited in cases of termination for cause.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRACTALCYCLES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE AFFILIATE PROGRAM.

Our total liability shall not exceed the total commissions paid to you in the twelve (12) months preceding any claim.

13. Tax Responsibility

You are solely responsible for reporting and paying any taxes owed on your affiliate earnings. We may request tax documentation (such as W-9 or W-8BEN forms) and may withhold payments if required by law.

We do not provide tax advice. Consult a tax professional for guidance specific to your situation.

14. Modifications and Program Changes

We reserve the right to modify these terms, commission rates, or any aspect of the affiliate program at any time. Material changes will be communicated via email with reasonable notice.

Continued participation after changes take effect constitutes acceptance of the modified terms.

FractalCycles reserves the right to modify or discontinue the affiliate program with reasonable notice.
